Terms of Service

Effective date: June 10, 2026

These Terms of Service (“Terms”) govern your access to and use of PivotPilot, operated by Unybex Inc., a company incorporated in Japan (“PivotPilot,” “we,” “our,” or “us”). By creating an account or using the service, you agree to these Terms. If you are using PivotPilot on behalf of an organization, you represent that you have authority to bind that organization.

1. Description of the Service

PivotPilot is an AI-powered Amazon advertising management platform. The service connects to your Amazon Ads account, imports and analyzes your advertising data, and provides AI-generated recommendations through a chat interface. Upon your explicit approval, PivotPilot executes changes directly on your live Amazon Ads account via the Amazon Advertising API. PivotPilot is designed as a human-in-the-loop tool: the AI recommends, you decide.

Your use of PivotPilot is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Eligibility and Account Registration

You must be at least 18 years old and authorized to enter into a binding agreement to use PivotPilot. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or suspected breach. The “I agree to the Terms of Service and Privacy Policy” checkbox at signup constitutes your acceptance of these Terms.

3. Amazon Advertising API Access

PivotPilot connects to your Amazon Ads account via OAuth (“Login with Amazon”) using the advertising::campaign_management scope. By connecting your account, you authorize PivotPilot to import and store your advertising data — including campaign structure, performance metrics, keyword data, target data, and search term report data — to operate the service.

This data is used solely to provide the service to your organization. To power the AI assistant, PivotPilot transmits relevant summaries of your advertising data to Anthropic's API as described in our Privacy Policy. Anthropic processes this data as a service provider and does not use it to train AI models. Your advertising data is never shared with other PivotPilot customers or used for purposes other than operating the service for your organization.

You are responsible for ensuring your use of PivotPilot complies with Amazon's Advertising Policies, Seller Policies, and the Amazon Advertising API terms applicable to your account. You may revoke PivotPilot's access to your Amazon account at any time through the PivotPilot integrations settings or through your Amazon account security settings.

4. The AI Assistant

PivotPilot uses Claude, a large language model developed and hosted by Anthropic, PBC (San Francisco, USA), to power its AI assistant. When you send a message, PivotPilot transmits your message, recent conversation history, relevant campaign performance summaries, your saved account instructions (agent memories), and your account economics settings to Anthropic's API to generate a response.

AI outputs are not guaranteed to be accurate, complete, or appropriate for your specific situation. Recommendations are not financial advice, advertising consulting, or professional advice of any kind. Amazon's reporting data has inherent attribution delays; AI recommendations may reflect data that is 24–72 hours or more behind real-time performance.

If you use Bring Your Own Key (BYOK) mode, your messages and Amazon Ads data are sent to Anthropic using your own Anthropic API key. In that case, your use of the AI assistant is subject to both these Terms and Anthropic's terms of service for your key's usage.

5. Execution of Changes on Your Amazon Ads Account

When you approve a proposed action, PivotPilot executes that change on your live Amazon Ads account via the Amazon Advertising API. Approving a change is a real action with real consequences for your advertising spend and performance. Proposed actions are not simulations.

PivotPilot may execute the following types of changes when you approve them: keyword bid adjustments, campaign budget changes, campaign state changes (pause and enable), placement bid multipliers, keyword additions, negative keyword additions, product targeting additions, negative target additions, product ad additions, campaign creation, and ad group creation.

Irreversible actions: Campaign creation and ad group creation cannot be undone through PivotPilot after execution. Bid changes, budget changes, state changes, and most keyword and target changes can be reversed through PivotPilot's reversal feature, which itself executes as a real API call. Amazon may not permit reversal of all action types.

By approving a change, you confirm that you have reviewed it and accept full responsibility for its execution and any resulting consequences to your Amazon Ads account.

If an execution fails, no change is made to your Amazon account for that action. Failed executions are recorded in your execution history. Some multi-step operations may partially complete; the execution log will describe the state left.

6. Acceptable Use

You agree not to:

  • Use PivotPilot for any unlawful purpose or in violation of any applicable law
  • Use PivotPilot to make changes to Amazon accounts you are not authorized to manage
  • Attempt to gain unauthorized access to any part of the platform or its infrastructure
  • Interfere with the operation of the platform or other users
  • Reverse-engineer, decompile, or extract source code from the platform
  • Resell or redistribute access to the service without authorization
  • Use PivotPilot to facilitate spam, fraud, or policy violations on Amazon's platform
  • Violate Amazon's Advertising Policies, Selling Policies, or the Amazon Advertising API terms

7. Subscriptions and Billing

7.1 Plans and Pricing

PivotPilot may offer free plans, subscription plans, lifetime plans, usage-based plans, or other service tiers. Current plans, pricing, included features, and usage limits are displayed within the platform and on applicable billing pages. Unless otherwise stated, subscription plans renew automatically until cancelled.

Pricing is subject to change. We will provide at least 30 days' notice to affected subscribers before any pricing change takes effect on their account.

7.2 Auto-Renewal

BYOK Pro and Platform Pro are monthly recurring subscriptions. Your payment method on file with Stripe will be charged automatically on your billing date each month until you cancel. By subscribing, you authorize this recurring charge.

7.3 Cancellation

You may cancel your subscription at any time by contacting us at hello@pivotpilot.ai. Cancellation takes effect at the end of the current paid billing period; your subscription remains active and you retain access to your plan's features until then. After the period ends, your account downgrades to the Free plan. If your plan included BYOK access and the Free plan does not support BYOK, your saved API key will be deactivated on downgrade.

7.4 Lifetime Plans

Lifetime plan purchases are non-refundable except where required by applicable law. Lifetime plans are not cancellable and do not renew.

7.5 Refund Policy

Monthly subscription payments are non-refundable except where required by applicable law. There are no partial-month refunds.

7.6 Payment Processing

All payments are processed by Stripe, Inc. PivotPilot does not store payment card numbers. By initiating a purchase, you also agree to Stripe's terms of service.

8. AI Credits

Platform credits are usage units that are consumed when you use AI features powered by PivotPilot's platform AI. Credits have no monetary value, are not transferable between organizations, and cannot be exchanged for cash. Different AI action types consume different numbers of credits as described in the platform.

Credits are granted according to your current plan. When your credit balance reaches zero, AI features that consume platform credits will be unavailable until credits are refreshed at your next billing cycle or added by the PivotPilot team. BYOK mode is not subject to platform credit consumption on supported plans.

9. Bring Your Own Key (BYOK)

Supported plans allow you to use your own Anthropic API key in place of platform credits. Your key is encrypted at rest using AES-256 encryption and decrypted per-request in server memory to make API calls on your behalf. It is not returned in API responses or written to logs.

When you use BYOK, your messages and Amazon Ads data are transmitted to Anthropic using your key and your Anthropic account. You are responsible for compliance with Anthropic's terms of service and usage policies for your key. Removing your key deactivates it immediately; a deactivated record may be retained for security audit purposes.

10. Organization Accounts

PivotPilot accounts are organization-scoped. The account owner is responsible for all activity by organization members. Roles (Owner, Admin, Member) control permissions within the organization. Removing a member from an organization revokes their access; content they contributed (chat history, approved changes) remains associated with the organization.

11. Intellectual Property

PivotPilot, including its software, AI models, documentation, and branding, is owned by Unybex Inc. You retain ownership of your Amazon Ads data and any content you submit. You grant PivotPilot a limited, non-exclusive license to process your data solely to operate the service. PivotPilot does not use your data to train AI models.

12. Warranties Disclaimer

The service is provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by applicable law, PivotPilot expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and uninterrupted availability. AI recommendations are provided without warranty and may be inaccurate or incomplete.

13. Limitation of Liability

To the maximum extent permitted by applicable law, PivotPilot, Unybex Inc., and their officers, employees, and agents expressly disclaim all liability for:

  • Advertising spend, wasted budget, or overspend on your Amazon Ads account
  • Changes in ACoS, ROAS, or any other advertising or business metric
  • Lost sales, lost revenue, or reduced advertising performance
  • Amazon account suspension, policy violations, or any action taken by Amazon
  • Outcomes resulting from changes you approved and PivotPilot executed
  • AI recommendation inaccuracies or omissions
  • Data delays inherent in Amazon's reporting pipeline
  • Service interruptions caused by Amazon API unavailability

To the maximum extent permitted by applicable law, PivotPilot's aggregate liability for any claim arising from your use of the service is limited to the total amount you paid to PivotPilot in the three months immediately preceding the claim.

To the maximum extent permitted by applicable law, PivotPilot is not liable for indirect, incidental, consequential, special, or punitive damages of any kind, regardless of whether PivotPilot was advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless Unybex Inc. and its officers, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from: your use of the platform; changes you approved on your Amazon Ads account; your violation of these Terms; or your violation of Amazon's policies or applicable law.

15. Termination

PivotPilot may suspend or terminate your account for material violation of these Terms, non-payment, or abuse of the service. You may close your account at any time by contacting us. On termination, your Amazon Ads connection is revoked and your access to the platform ends. Your data is retained and handled in accordance with our Privacy Policy.

16. Service Availability

We aim to maintain reliable service but do not guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice where practicable.

17. Changes to These Terms

We may update these Terms. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws applicable to Unybex Inc. as a company incorporated in Japan. Specific governing law and dispute resolution terms are subject to legal review and will be updated accordingly.
